Terms of Use
These Terms govern access to and use of sgtrading.biz. The website is a B2B information and enquiry channel for industrial and specialty gas, packaging, engineering and related commercial requests. It is not an online checkout.
1. Company, website and acceptance
This website is operated by SG TRADING L.L.C-FZ ("SGTRADING", "we", "us" or "our"), a company registered in Dubai, United Arab Emirates under Trade Licence No. 2540641.01, with its registered office at Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates.
By accessing or using sgtrading.biz, you agree to these Terms of Use. If you access the website on behalf of a company or other organisation, you represent that you are authorised to act for that organisation in relation to your use of the website.
If you do not agree to these Terms, you should not use the website. Separate written commercial terms, quotations, purchase orders, supply contracts or other agreements may apply to an actual transaction and will take precedence over these website Terms to the extent of any direct conflict relating to that transaction.
2. B2B website only
The website is intended primarily for professional and business-to-business use by industrial buyers, procurement teams, distributors, suppliers, technical organisations and other commercial counterparties.
SGTRADING does not provide public online checkout through this website and does not accept payment merely through submission of a website form. The website does not constitute a consumer e-commerce storefront or an unconditional public offer to sell any product or service.
3. RFQs, quotations and formation of a transaction
3.1 RFQ submission
You may submit an RFQ or other enquiry through the website. We may ask for additional information concerning product, purity, grade, quantity, packaging, destination, Incoterms, end use, delivery timeline, technical conditions, documentation or other requirements before the request can be evaluated.
3.2 Review and clarification
SGTRADING may review the request directly and may, where appropriate, consult relevant suppliers, packaging providers, regional distributors, logistics providers, laboratories, inspection providers or technical partners. The fact that a request has been received or discussed does not mean that any party has accepted it.
3.3 Quotations
Any quotation, commercial proposal, availability statement or technical response is subject to the conditions stated in that communication and may be subject to validity periods, supplier confirmation, credit approval, compliance review, product allocation, logistics feasibility, documentation availability, destination restrictions and other transaction-specific conditions.
3.4 Binding contract
A binding transaction arises only when the relevant parties enter into a separate agreement or otherwise complete the contract-formation process specified in the applicable quotation, purchase order, order confirmation, supply agreement or other commercial documentation. Nothing on this website overrides those transaction-specific terms.
4. Product, technical and website information
Website content is provided for general B2B information and enquiry purposes. Product names, purity references, applications, packaging examples, photographs, specifications, technical descriptions, industry references, supply routes and documentation examples are illustrative unless expressly confirmed in a transaction-specific document.
Actual product characteristics, packaging, working pressure, valve or connection standards, certificates, safety documentation, transport classification, availability, permitted end use and delivery feasibility may vary by supplier, production source, destination and transaction.
You are responsible for determining whether a product or service is suitable for your intended application and for obtaining appropriate engineering, safety, regulatory and professional advice. Nothing on the website should be treated as a substitute for a product specification, safety data sheet, certificate of analysis, engineering assessment or legally required compliance documentation.
We may update, correct, withdraw or change website content without notice. While we seek to keep information accurate, we do not warrant that all website information is complete, current or error-free at all times.
5. Partner network and third-party suppliers
SGTRADING may coordinate enquiries with third-party suppliers and technical partners. Unless expressly stated in a separate written agreement, the website is not an open marketplace, does not automatically match or contract buyers and sellers, and does not guarantee that any particular partner will accept, quote or fulfil a request.
Third-party companies remain responsible for their own representations, licences, products, facilities, certifications, technical work and contractual obligations. Images or references to a partner facility do not mean that the facility is owned by SGTRADING unless expressly stated.
6. User responsibilities
When using the website or submitting information, you agree that you will:
- provide information that is accurate to the best of your knowledge and not deliberately misleading
- submit only documents and Personal Data that you are authorised to provide
- not upload malware, malicious code, unlawful content or material that infringes third-party rights
- not attempt to bypass, interfere with, probe, overload or compromise the security or operation of the website
- not impersonate another person or organisation or misrepresent your authority
- not scrape, harvest or systematically extract website data using automated methods except where expressly authorised by us or permitted by mandatory law
- use product, technical and commercial information only for lawful business purposes
6.1 Content you submit
You retain ownership of documents and information that you lawfully own. By submitting content to SGTRADING, you authorise us to access, copy, internally use and disclose that content to the extent reasonably necessary to review, administer and respond to your request, comply with law, protect our rights and perform any resulting commercial arrangement.
You represent that you have the right to provide the submitted content and that our use of it for those purposes will not unlawfully infringe the rights of another person.
7. Export control, sanctions and trade compliance
Cross-border supply of gases, equipment, technical services and related documentation may be subject to export-control, sanctions, customs, non-proliferation, end-use, end-user, transport, licensing and other trade compliance requirements in the United Arab Emirates, the destination country, the country of origin and other relevant jurisdictions.
SGTRADING may request information concerning the customer, beneficial owner, end user, end use, destination, route, product specification or transaction participants where reasonably required for compliance review. We may suspend, decline or discontinue an enquiry or proposed transaction where we consider this necessary to comply with applicable law, sanctions, regulatory requirements, supplier restrictions, banking requirements, internal compliance controls or legitimate safety concerns.
No statement on the website is a representation that a product, service, destination, route, counterparty or end use is legally permitted or commercially available. Each transaction remains subject to the applicable compliance review.
8. Intellectual property
Unless otherwise indicated, the website design, text, graphics, SGTRADING branding, original diagrams, layouts and other website content are owned by SGTRADING or used with permission and are protected by applicable intellectual property laws.
You may view, print or save reasonable extracts for your internal business evaluation of SGTRADING products or services. You may not reproduce, distribute, republish, sell, license, remove proprietary notices from, or create a competing commercial database from substantial parts of the website without our prior written permission, except to the extent permitted by mandatory law.
Third-party names, trademarks, images, maps and other materials remain the property of their respective owners.
9. External links and third-party services
The website may contain links to third-party websites and services, including WhatsApp and Google Maps. We provide such links for convenience and do not control the third party's availability, security, content, privacy practices or terms.
Your use of a third-party website or service is governed by that third party's own terms and policies. A link does not by itself constitute an endorsement, agency relationship or guarantee by SGTRADING.
10. Website availability and security
We may modify, suspend, restrict or discontinue all or part of the website for maintenance, security, operational, regulatory or business reasons. We do not guarantee uninterrupted, error-free or continuously available access.

11. Disclaimers and limitation of liability

13. Changes to these Terms

14. Governing law and jurisdiction
These website Terms and any non-contractual dispute arising out of or in connection with use of this website are governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai, without prejudice to any mandatory rule that must apply.
Subject to any different dispute-resolution provision contained in a separate binding commercial agreement, the competent courts of Dubai, United Arab Emirates shall have jurisdiction over disputes arising from these website Terms or use of the website.
14.1 Severability and waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure or delay by SGTRADING to exercise a right does not constitute a waiver of that right.
